What is a Biennial Statement?

A Biennial Statement updates the New York Department of State with your business's current information. Filing on time keeps your entity in good standing, ensures you receive official legal notices, and keeps the state's public records accurate.

What each entity type reports

Reported information Corporations LLCs
CEO name & business address
Principal executive office address
Registered agent / service of process address
Board size & number of women directors

LLCs: no officer, director, or gender-reporting requirements — just the registered agent address.

Filing basics

  • Due every two years, in your entity's original formation or registration month
  • Filing fee: $9
  • Filed online only, via the e-Statement Filing Service (Mon–Fri, 6:00 a.m.–7:30 p.m. ET, closed legal holidays)

Why it matters

Filing keeps your entity in good standing, ensures delivery of official legal notices, and maintains accurate public records.

If you miss a filing: your entity shows as past due in state records and drops out of good standing — which can disrupt contracts, banking, and closings until you catch up.
